Terms of Service

These terms govern your use of ca12.agency, the Sentinel client portal, and the services of Cheeseburgers After Midnight, LLC, doing business as CA12 ("CA12", "we", "us"). You agree to these terms when you use the website or the portal. If you signed a services agreement with CA12, that agreement controls wherever it conflicts with these terms.
1. Our services
CA12 provides performance marketing services. We manage paid media on Meta, Google Ads, LinkedIn, TikTok, and Walmart Connect. We run email and SMS marketing, set up conversion tracking, and report on results. Your signed agreement sets the scope, fees, and term of your engagement.
2. Website use
You may use the website for lawful business purposes. You may not:
copy or scrape the website's content in bulk;
attempt to access systems or data without authorization;
interfere with how the website operates; or
misrepresent who you are.
The website gives general information, not professional advice. The results we describe for past clients do not predict your results.
3. Sentinel and the client portal
Sentinel is CA12's internal software. We use it to monitor ad accounts, produce reports, and give clients a portal that displays their performance data.
Access. We grant each client a limited, revocable, non-transferable right to use the portal for its own internal business purposes during the engagement.
Accounts. Each portal login belongs to one person. Keep your credentials confidential and tell us promptly if someone uses your account without permission. You are responsible for activity under your login.
Restrictions. You may not share portal access outside your company, resell it, reverse engineer Sentinel, scrape it, or test its security.
Data accuracy. The portal and our reports display data from third-party platforms. Figures can differ from the source platform because of attribution settings, time zones, currency conversion, and reporting delays. Each platform's own records control for billing.
AI-assisted output. Sentinel uses AI models to draft reports and analysis. AI output can contain errors. Our team reviews each client report before we send it. Verify key figures before you rely on them for a financial decision.
Monitoring alerts. Sentinel's automated alerts help our team detect delivery, payment, and spend problems. We do not guarantee that the alerts will detect every problem or detect it within a set time.
Availability. We may change, suspend, or remove portal features at any time. We do not guarantee uninterrupted access.
4. Client responsibilities
Give us the account access we need and keep that access current.
Confirm that you have the right to share the data and creative assets you give us, including your customers' data.
Maintain your own privacy policy and collect the consents the law requires for tracking and advertising on your properties.
Review and approve ads, copy, and budgets when your agreement calls for approval.
Follow each advertising platform's policies. You own your ad accounts and you remain responsible for the ad spend those platforms charge.
5. Third-party platforms
We do not control Meta, Google, LinkedIn, TikTok, Walmart, Shopify, Klaviyo, or any other third-party platform. A platform can change its policies, reject ads, suspend accounts, or change its systems without notice. We are not liable for a platform's actions or outages. Each platform's own terms govern your use of it.
6. No guarantee of results
We do not guarantee any level of sales, leads, return on ad spend, or other results. Any forecast we share is an estimate.
7. Fees
The fees and payment terms in your signed agreement apply.
8. Intellectual property
CA12 owns the website, Sentinel, and our software, methods, and templates.
You own your brand assets, your data, and your ad accounts. You grant us a license to use them to perform the services.
Your signed agreement determines who owns the deliverables we create for you.
We may use feedback you give us about the website or Sentinel without owing you anything.
9. Confidentiality
Each party will protect the other party's non-public information and use it only for the engagement. The confidentiality terms in your signed agreement control.
10. Privacy
Our Privacy Policy explains how we handle personal information. When we process personal information for you, we act as your service provider and we process it only to deliver the services.
11. Disclaimers
To the extent the law allows, we provide the website, the portal, and Sentinel's output "as is" and "as available". We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of liability
To the extent the law allows, CA12 is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. CA12's total liability under these terms will not exceed the fees you paid CA12 in the 12 months before the claim, or US $100 if you paid no fees. The liability terms in your signed agreement apply to services we deliver under that agreement.
13. Indemnity
You will defend and indemnify CA12 against third-party claims that arise from your content, your products, your data, or your breach of these terms.
14. Suspension and termination
We may suspend or end your access to the website or the portal if you breach these terms or when your engagement ends. Sections 8 through 13 and section 15 continue to apply after access ends.
15. Governing law
The laws of the State of Missouri govern these terms. The state and federal courts located in St. Louis, Missouri will hear any dispute.
16. Changes to these terms
We may update these terms. We will post the update on this page and change the effective date. You accept the updated terms when you continue to use the website or the portal.
